Terms and Conditions
Effective date: September 14, 2026
Last updated: September 14, 2026
These Terms of Service (the “Terms”) are a binding agreement between you and Lamorinda Healing Arts, Inc., a Texas corporation doing business as Selling a Practice (“Selling a Practice”, “we”, “us” or “our”). They govern your use of sellingapractice.com and every page, tool, form, calculator and resource on it (the “Site”), and they apply to our services except where a signed engagement agreement says otherwise.
Please read Section 15 carefully. It requires most disputes to be resolved by binding individual arbitration in Texas and waives your right to a jury trial and to participate in a class action.
1. Acceptance and scope
By accessing the Site, submitting any form on it, using the valuation calculator or the readiness assessment, subscribing to our emails, or engaging us for services, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site.
If you engage us for services, you will also sign a separate written engagement agreement. Where that engagement agreement and these Terms conflict, the engagement agreement controls for the services it covers, and these Terms continue to govern everything else, including your use of the Site.
You represent that you are at least 18 years old and that, where you are agreeing on behalf of a practice, entity or other person, you have authority to bind it. The Site is intended for users in the United States and Canada and is not directed to anyone under 18.
2. What we do — and what we are not
Selling a Practice provides advisory, consulting, marketing and administrative support services to owners of healthcare and clinical practices who are preparing to sell, and to buyers who engage us. Depending on the stages you engage, that work can include practice valuation analysis, preparation of marketing materials, listing and buyer outreach, buyer screening, support through negotiation, and assistance in assembling and coordinating transaction documents.
The following limits are fundamental to our service and to the fees we charge:
- We are not a licensed business broker or real estate broker, and we do not act as one. We do not hold ourselves out as a licensed broker in any jurisdiction. Our service is deliberately structured as a flat-fee advisory alternative to brokerage.
- We are not your agent and we do not represent you in a transaction. We have no authority to make offers, accept offers, bind you to any term, sign anything on your behalf, or act as your representative with any counterparty. You deal with buyers and sellers as principal. Every decision in your transaction is yours alone.
- We do not negotiate on your behalf as your agent. Where we support you through negotiation, we advise you, prepare analysis and drafts, and help you think through positions. You decide what to communicate and you remain the party to the negotiation.
- We charge no commission and no success fee, and we receive no compensation contingent on whether, when, or at what price a practice sells.
- We do not hold client or transaction funds. We do not act as escrow agent, do not hold deposits, and do not handle the transfer of purchase price.
- We do not provide legal, tax, accounting, appraisal, investment or financial advice. See Section 3.
- We do not advise on or handle real property. Where a transaction involves the sale of real estate, or the assignment, negotiation or renewal of a lease, that component is outside our services. You should engage a licensed real estate professional and your own attorney for it.
Nothing on the Site, in our marketing materials, or in any communication from us should be read as an offer to act as a broker, an agent, an appraiser, an attorney, an accountant or a fiduciary, or as a representation that we are licensed in any of those capacities.
3. No legal, tax, accounting or financial advice
The Site publishes a substantial body of general educational material — articles, guides, checklists, worked examples and discussions of topics such as purchase price allocation, asset versus stock sales, tax treatment, seller financing, earn-outs, valuation multiples and deal structure. It also provides automated tools, including a valuation calculator and a practice sale readiness assessment.
All of it is general information, not advice. It is not legal advice, tax advice, accounting advice, appraisal, investment advice or financial advice, it is not tailored to your circumstances, and it does not take account of your jurisdiction, your entity structure, your licensure, your contracts or your financial position. No attorney-client, accountant-client or fiduciary relationship is created by your use of the Site or by engaging our services.
You must obtain your own advice. Before signing anything or acting on anything you read here or hear from us, engage your own attorney, your own CPA or tax advisor, and where relevant your own appraiser, lender and insurance advisor, and rely on their advice as applied to your situation. Tax and licensing rules differ by state, by province and by profession, and they change.
4. No guarantee of outcome
Engaging Selling a Practice does not guarantee that your practice will sell, that it will sell within any period of time, that it will sell at any particular price or on any particular terms, that any buyer will be found, that a buyer found will complete a purchase, or that any buyer will obtain financing or licensure.
Whether a practice sells, and on what terms, depends on factors outside our control — among them the practice’s finances and records, its location, its patient or client base, staffing, lease and premises, the profession and specialty involved, licensing and regulatory requirements, credit and lending conditions, and the decisions of the parties. We make no prediction and give no assurance about any of them.
Testimonials and results described by clients
Client testimonials, reviews and case examples published on the Site or on third-party review platforms describe the individual experience of the person who gave them. They are not typical results, they are not a prediction of your result, and they are not a guarantee. Results vary, and many sellers do not experience the results described. See Section 10 for our full testimonial disclosure.
Valuation figures and calculator output
Any value, range, multiple or estimate we provide — whether produced by the valuation calculator on the Site, stated in a valuation report, or discussed with you — is an estimate for planning purposes only. It is not an appraisal, not a formal opinion of value, not a fairness opinion, not a certified or USPAP-compliant valuation, and not an offer to buy your practice or a representation that any buyer will pay it. It should not be relied on for tax filings, litigation, divorce or partnership proceedings, lending, or any other purpose requiring a formal appraisal.
Every estimate we produce is generated from information you supply and is only as accurate as that information. You are responsible for the accuracy and completeness of the figures, records and statements you give us, and we do not audit, verify or independently confirm them. If the information you provide is inaccurate, incomplete or out of date, the resulting estimate, marketing materials and advice will be too, and we are not responsible for the consequences. If you provide inaccurate information to a buyer, whether through materials we prepared from your figures or otherwise, that remains your responsibility.
5. Fees, stages and refunds
Our services are provided in separate stages, each charged at a flat fee quoted in advance. We do not charge a commission or a percentage of the sale price, and our fees do not change with the size of the practice. The stages we currently offer, and the fee for each, are as stated on the Site and confirmed in your engagement agreement. The fees stated in your signed engagement agreement control.
- Each stage is engaged separately. Completing one stage does not commit you to the next. You may decide not to proceed to a later stage at any time, and you will owe nothing for any stage that has not begun.
- Refunds are governed by your engagement agreement. Where you have signed one, its refund terms apply and control.
- Optional add-on services, such as additional marketing, are quoted separately and are subject to the same terms.
- Fees are exclusive of third-party costs, which are yours. These include your attorney, your CPA, appraisers, lenders, escrow or closing agents, licensing and regulatory filings, landlord consents, and any franchise, association or board fees.
- Fees are payable in US dollars as invoiced. We may suspend work on an account with an overdue balance.
6. Your obligations
When you use the Site or engage our services, you agree that you will:
- provide information that is accurate, complete and current, and correct it promptly if it changes;
- have the authority to provide the information and materials you give us, including any partner, co-owner, shareholder or lender consents your situation requires;
- obtain and rely on your own legal, tax and accounting advice before acting;
- comply with all laws and with the rules of your professional licensing board, association or regulator, including any that govern advertising, patient notification, records custody and the transfer of a practice;
- not send us protected health information or patient records (see Section 7); and
- not misrepresent your practice, its financial performance, its records or its liabilities to us or to any prospective buyer.
7. Patient information and HIPAA
Our services concern the business of a practice — its financials, operations, staffing, premises, systems and goodwill. They do not involve patient care, patient records or clinical data.
We do not act as a HIPAA business associate of any client, and we do not perform any function or activity on behalf of a covered entity that involves the use or disclosure of protected health information. We do not request, require or need protected health information, individually identifiable health information, or patient or client records in order to perform our services, and the parties do not intend for any business associate relationship to arise.
You must not send us protected health information. Do not include patient names, identifiers, charts, records, appointment detail, treatment information or any other individually identifiable health information in anything you provide to us, and redact it from financial reports, practice management exports, schedules and screenshots before you send them. Where data we need is derived from patient records — visit counts, revenue per visit, payer mix, case volume — provide it in aggregate and de-identified form only.
If protected health information reaches us despite this, we will not use or disclose it, and we will return or securely destroy it on becoming aware of it. Nothing in these Terms or in any engagement agreement constitutes a business associate agreement, and no such agreement will be implied.
Planning for the transfer, retention or custody of patient records in a practice sale — including notice to patients, custodianship, retention periods and the requirements of your state and your licensing board — is a matter for you and your attorney. We do not advise on it, do not handle records, and do not participate in their transfer.
8. Confidentiality
Information you give us about your practice and its finances is treated as confidential. We use it only to provide the services you have engaged us for and to communicate with you about them, we limit access within our company to those who need it for that purpose, and we do not sell it. We share it outside our company only with your direction or consent — for example, in marketing materials you approve, or with a prospective buyer who has signed a non-disclosure agreement — or where we are legally compelled to.
You agree to keep confidential the non-public information we make available to you about buyers, sellers and listings, and any non-public methods, templates, analyses and documents we provide.
How we handle personal information is described in our Privacy Policy.
9. The valuation calculator and readiness assessment
The valuation calculator and the practice sale readiness assessment are free, automated, general-information tools. They apply a formula to the figures you type in. No person reviews your entries before an estimate is produced, and the tools do not know anything about your practice beyond what you enter.
- Output is an automated estimate only. It is not a valuation, an appraisal, an opinion of value, or an offer, and it must not be relied on as one. Section 4 applies in full.
- The financial information you enter is treated as confidential and is used only to generate your result, to follow up with you about it, and to provide services you ask for.
- If you begin a tool and do not complete and submit it, we do not store your entries. Partial entries may remain in your own browser, in local storage or in cookies on your device, until you clear them.
- An email address you give a tool is used only to send you your result and to follow up with you about selling your practice. We do not sell or rent it, and every email we send carries an unsubscribe link.
10. Testimonials, reviews and endorsements
In accordance with the Federal Trade Commission’s rules on endorsements and testimonials in advertising:
- Testimonials on the Site are genuine and are submitted by real clients by text, audio, video or web form.
- They describe individual experiences and individual results, which vary. They are not typical results, are not representative of all clients, and are not a prediction or guarantee of your result.
- Testimonials are reproduced substantially as received. We may correct spelling, grammar and typing errors, and may shorten a submission for length or relevance, without changing its meaning.
- We do not pay for testimonials or reviews and give no discount, gift, fee or other compensation in exchange for one. No testimonial on the Site was given in exchange for anything of value.
- Testimonials are reviewed by us before publication. The opinions expressed are those of the person who gave them, and Lamorinda Healing Arts, Inc. is not responsible for them.
- Testimonials are never intended to claim that any product or service diagnoses, treats, cures, mitigates or prevents any disease. No such claim, express or implied, has been clinically tested or evaluated.
If you submit a testimonial
When you submit a testimonial, review or photograph through the Site, you confirm and agree that:
- the statement is your own genuine experience and opinion, and is truthful;
- any photograph you upload is yours to give — you own it or have permission to provide it, and everyone shown in it consents to its publication;
- you were not paid or given anything of value in exchange for it;
- you grant Lamorinda Healing Arts, Inc. permission to publish your statement together with your name, professional title, practice name, city and photograph on the Site and in our marketing, including presentations, printed materials, email and social media;
- this permission is not perpetual and you can withdraw it. Email [email protected] and we will remove your testimonial from the Site and from materials we control within 30 days. We cannot recall copies already printed, distributed or published by third parties, or cached or archived by search engines and other services; and
- you are responsible for complying with the advertising and testimonial rules of your own professional licensing board or regulator, several of which restrict what a licensee may say in a testimonial or endorsement.
11. Advertising, sponsorship and affiliate disclosure
Sellingapractice.com is owned and operated by Lamorinda Healing Arts, Inc. and may contain advertisements, sponsored content, paid insertions, affiliate links or other forms of monetization.
We abide by word-of-mouth marketing standards and believe in honesty of relationship, opinion and identity. Compensation received may influence the advertising content, topics or posts made on this site. Any such content, advertising space or post will be clearly identified as paid or sponsored.
Lamorinda Healing Arts, Inc. is never directly compensated to provide an opinion on products, services, websites or other topics. The views and opinions expressed on this website are those of the authors. Where we claim or appear to have expertise on a topic, product or service, we endorse only what we believe, based on that expertise, is worthy of endorsement. Any product claim, statistic, quote or other representation about a product or service should be verified with its manufacturer or provider. This site does not contain content that presents a conflict of interest.
12. Intellectual property
All copyrights, trademarks, trade dress, patents and other intellectual property rights in the Site and in all content, text, graphics, video, tools, calculators, templates, checklists and software on it remain the sole property of Lamorinda Healing Arts, Inc. or its licensors. “Selling a Practice” and our logos are our marks and may not be used without our express written consent.
You may view, download and print Site content for your own personal, non-commercial use in evaluating or carrying out the sale or purchase of your own practice. You must not:
- republish material from the Site without our prior written consent;
- sell, rent or license material from the Site;
- reproduce, duplicate, copy, adapt or create derivative works from Site material, or otherwise exploit it for any purpose;
- redistribute Site content, including onto another website; or
- use the Site or its content for any marketing purpose without our express written consent.
We also prohibit the use of automated tools to scrape, harvest, index or copy the Site or its content, including for the purpose of training or providing any machine learning or artificial intelligence system, without our express written consent.
If you send us feedback, suggestions or ideas about our services, you grant us an unrestricted right to use them without obligation or compensation to you.
13. Acceptable use and restricted access
You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else’s use and enjoyment of it. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, and disrupting the normal flow of dialogue on the Site.
You must not use the Site to send unsolicited commercial communications, to gain unauthorized access to any system or account, to introduce malicious code, to impersonate anyone, to submit false information, or to interfere with the Site’s operation or security.
We may restrict access to parts or all of the Site, and reserve full rights to do so. Where we give you a username and password for a restricted area, you must keep both confidential, you are responsible for activity under your credentials, and you must tell us promptly if you believe they have been compromised. We may suspend or terminate access for any user who breaches these Terms.
14. Disclaimers, limitation of liability and indemnity
Disclaimer
Lamorinda Healing Arts, Inc. makes no representations, warranties or assurances as to the accuracy, currency or completeness of the content on this website or on any site linked to or from it. The Site may contain links to other websites; we cannot guarantee the accuracy of information found on any linked site, and a link to or from an external site is not an endorsement by Lamorinda Healing Arts, Inc. or any of its employees of that site, its sponsors, its products or the information it presents.
The Site, its content and its tools, and our services, are provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Site will be uninterrupted, secure or error-free. Our services are advisory and are performed with reasonable care and skill; we do not warrant any particular outcome.
Limitation of liability
To the fullest extent permitted by law, in no event shall Lamorinda Healing Arts, Inc., or its officers, directors, employees, contractors, agents or associates, be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, loss of business or business opportunity, business interruption, loss of anticipated savings, loss of goodwill, loss of data or information, diminution in the value of a practice, or personal injury or death, arising out of or relating to the Site, its content or tools, our services, or your inability to use any of them, on any theory of liability, whether in contract, tort (including negligence), warranty, strict liability, statute or otherwise, and even if Lamorinda Healing Arts, Inc. has been advised of the possibility of such loss or damage.
To the fullest extent permitted by law, the total aggregate liability of Lamorinda Healing Arts, Inc. and the parties listed above, for all claims arising out of or relating to the Site or our services, shall not exceed the total fees you actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim. Where you have paid us no fees, that aggregate liability shall not exceed one hundred US dollars (US$100).
This limitation applies to our advisory services as well as to the Site and its content. It does not apply to liability that cannot lawfully be limited or excluded, including liability for fraud or fraudulent misrepresentation. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you; in that case our liability is limited to the greatest extent permitted by law.
Indemnification
You agree to indemnify, defend and hold harmless Lamorinda Healing Arts, Inc. and its officers, directors, employees, contractors, agents and associates from and against any claim, demand, action, loss, liability, damage, cost or expense, including reasonable attorneys’ fees, arising out of or relating to: (a) information, figures, records, materials or statements you provide to us or to any prospective buyer, including any that are inaccurate, incomplete or misleading; (b) your breach of these Terms or of any engagement agreement; (c) your violation of any law or of any rule of your professional licensing board, association or regulator; (d) your violation of any third party’s rights, including intellectual property, privacy and publicity rights; (e) any protected health information or patient record you transmit to us in breach of Section 7; and (f) any dispute between you and a buyer, seller, landlord, lender, partner, employee or other third party in connection with your transaction.
15. Governing law, arbitration and venue
Governing law. These Terms, and any dispute arising out of or relating to them, the Site or our services, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and without regard to where you are located or where your practice is.
Informal resolution first. Before starting an arbitration or any proceeding, you agree to contact us in writing at [email protected] describing the dispute and the relief sought, and to allow sixty (60) days for the parties to try to resolve it informally. Most disagreements are settled at this stage.
Binding arbitration. If a dispute is not resolved informally, it shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in the State of Texas, and conducted in English. The arbitrator’s award may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.
You and we are giving up the right to a trial by jury and to have a dispute decided in court, except as stated below.
Class action waiver. To the fullest extent permitted by law, all claims must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of class or representative proceeding. If this class action waiver is held unenforceable as to a particular claim, that claim shall be severed and heard in court, and the remainder shall proceed in arbitration.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.
Venue for court proceedings. For any dispute not subject to arbitration, and for the enforcement of an arbitration award, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Texas, and waive any objection to that venue on grounds of inconvenient forum.
Time limit for claims. To the fullest extent permitted by law, any claim arising out of or relating to these Terms, the Site or our services must be brought within one (1) year after the claim arose, or it is permanently barred.
16. Term and termination
These Terms apply from your first use of the Site and continue until terminated.
You may stop using the Site at any time. Where you have engaged our services, either party may terminate that engagement on written notice, subject to your engagement agreement; Section 5 governs what is owed on termination. We may suspend or terminate your access to the Site or to our services at any time, with or without notice, if you breach these Terms, if you provide false information, if you ask us to do something unlawful or unethical, or if continuing would place us in conflict with another client.
Survival. Sections 2 through 4 (what we are not; no advice; no guarantee), 7 (patient information), 8 (confidentiality), 10 (testimonial permissions already granted), 12 (intellectual property), 14 (disclaimers, limitation of liability and indemnity), 15 (governing law and arbitration), and 17 through 19, survive termination or expiry, together with any other provision that by its nature should survive.
17. Changes to these Terms
We may amend these Terms at any time. The amended version takes effect when it is posted here, and the “Last updated” date at the top of this page tells you when it changed. Where a change is material, we will give reasonable additional notice — by a notice on the Site, by email to subscribers, or both — before it takes effect.
Your continued use of the Site after an amended version is posted constitutes acceptance of it. If you do not agree to a change, stop using the Site. A change to these Terms does not change the commercial terms of a signed engagement agreement, which can be varied only by written agreement between you and us.
We keep a record of prior versions and will provide the version in effect on a particular date on request.
18. General
Entire agreement. These Terms, the Privacy Policy, and any engagement agreement you have signed are the entire agreement between you and us on their subject matter, and supersede any prior understanding.
Severability. If any provision is held unenforceable, it shall be limited or severed to the minimum extent necessary and the remaining provisions remain in full force.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, reorganization or sale of assets.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
No third-party beneficiaries. These Terms create no rights in any person who is not a party to them.
Headings are for convenience and do not affect interpretation.
